Introduction 

Welcome to the Virtualweb Technologies Marketplace (the “Marketplace”). These Terms of Service (“Terms”) govern your use of the Marketplace as a vendor (“Vendor” or “you”). By using the Marketplace, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Marketplace. 

2. Definitions 

1. “Marketplace” means the online platform operated by Virtualweb Technologies where Vendors can list and sell their products or services; 

2. “Vendor” means an individual or business entity that lists and sells products or services on the Marketplace; 

3. “Product” means a tangible item or digital good offered for sale by a Vendor on the Marketplace; 

4. “Service” means an intangible offering provided by a Vendor on the Marketplace; 

5. “Listing” means a Vendor’s presentation of a Product or Service on the Marketplace, including descriptions, images, pricing, and other relevant detail; 

6. “Order” means a customer’s purchase of a Product or Service from a Vendor on the Marketplace. 

7. “Customer” means an individual or business entity that purchases Products or Services from Vendors on the Marketplace. 

3. Vendor Eligibility 

1. To become a Vendor, you must: 

1. Be at least 18 years of age or the legal age of majority in your jurisdiction; 

2. Provide accurate and complete information during the registration process; 

3. Comply with all applicable laws and regulations; 

4. Agree to these Terms and all other Marketplace policies. 

2. We reserve the right to refuse or terminate Vendor accounts at its sole discretion. 

4. Listing Products and Services 

1. All Listings must be accurate, complete, and up-to-date; 

2. You may not list any Products or Services that are illegal, dangerous, counterfeit, or violate intellectual property rights; 

3. Listings must be placed in the appropriate Marketplace categories; 

4. Prices must be fair and transparent, including all applicable taxes and fees; 

5. We may remove Listings that violate these Terms or any other Marketplace policies. 

5. Order Fulfillment 

1. Products must be shipped promptly after an Order is placed; 

2. Vendors must provide accurate tracking information to Customers; 

3. Products must meet the quality standards described in the Listing; 

4. Services must be delivered as described in the Listing; 

5. Vendors must adhere to the Marketplace’s refund and return policies; 

6. Failure to fulfill Orders in a timely and satisfactory manner may result in negative reviews, disputes, and possible account suspension. 

6. Payments and Fees 

1. We will process payments on behalf of Vendors 

2. Vendors will be charged a commission fee on each sale, as outlined in the Marketplace’s fee schedule; 

3. Vendors will receive payouts on a regular basis, minus applicable fees; 

4. Vendors are responsible for any chargebacks or disputes initiated by Customers; 

5. Vendors are responsible for understanding and complying with all applicable tax laws and regulations. 

7. Intellectual Property 

1. Vendors retain ownership of their intellectual property, including product designs, trademarks, and copyrights; 

2. By listing Products or Services on the Marketplace, Vendors grant Virtualweb Technologies a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with the operation of the Marketplace; 

3. Vendors may not use any intellectual property owned by Virtualweb Technologies without prior written permission. 

8. Termination 

1. Vendors may terminate their accounts at any time by following the instructions provided on the Marketplace; 

2. We may terminate a Vendor’s account for any reason, including but not limited to:  

1. Violation of these Terms or any other Marketplace policies; 

2. Fraudulent activity; 

3. Repeated negative reviews or disputes; 

4. Failure to fulfill Orders; 

5. Account inactivity. 

3. Upon termination, all outstanding Orders must be fulfilled, and any fees owed to Virtualweb Technologies must be paid. 

9. Dispute Resolution 

Vendors are encouraged to resolve disputes directly with Customers through the Marketplace’s messaging system, and both parties agree to attempt to resolve any disputes amicably and in good faith. If a dispute cannot be resolved in this manner, we may provide arbitration services. 

10. Limitation of Liability 

1. Virtualweb Technologies does not guarantee the accuracy, completeness, or reliability of any content on the Marketplace; 

2. Virtualweb Technologies will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Marketplace; 

3. Virtualweb Technologies’ total liability for any claims arising from or related to the use of the Marketplace will not exceed the amount of fees paid by the Vendor to Virtualweb Technologies in the six months preceding the claim. 

11. Indemnification 

1. Vendors agree to indemnify and hold harmless Virtualweb Technologies, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: 

1. The Vendor’s use of the Marketplace; 

2. The Vendor’s Listings or Orders; 

3. The Vendor’s breach of these Terms or any other Marketplace policies; 

4. Any third-party claims related to the Vendor’s Products or Services. 

12. Governing Law and Jurisdiction 

These Terms will be governed by and construed in accordance with the laws of Kenya. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts of Kenya. 

13. Modifications 

Virtualweb Technologies may modify these Terms at any time by posting the revised Terms on the Marketplace. Vendors will be notified of any material changes to the Terms, and continued use of the Marketplace after such changes constitutes acceptance of the revised Terms. 

14. Entire Agreement 

These Terms, together with any other Marketplace policies referenced herein, constitute the entire agreement between the Vendor and Virtualweb Technologies with respect to the use of the Marketplace.
